1. Acceptance of Terms
By accessing or using the website aveniosolutions.com (“Website”) or licensing, subscribing to, or engaging with Avenio Solutions (“Avenio,” “we,” “our,” or “us”) for any professional digital services, software products, or the Avenio IQ™ AI product suite, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please refrain from accessing our Website or utilizing our products and services.
2. Services & Engagements
Avenio Solutions delivers integrated digital transformation services, including Custom Full-Stack Web & Mobile Engineering, Zero-Trust Cybersecurity Architecture, Autonomous AI Agent Solutions, Graphic Design & Brand Systems, Performance Marketing, Technical Staffing, and proprietary software products.
Specific project scopes, software deliverables, milestones, recurring subscription tiers, and commercial terms will be detailed in individual Statements of Work (SOW), Enterprise Service Agreements (ESA), or digital subscription orders agreed upon between Avenio and the client before project kickoff or product provisioning. Any alterations to the scope must be agreed upon in writing.
3. Avenio IQ™ Enterprise AI Products & Autonomous Agents
Avenio offers proprietary and modular artificial intelligence products and agent frameworks collectively known as the Avenio IQ™ Suite, including:
- Avenio IQ Vault: Private enterprise cognitive search and grounded Retrieval-Augmented Generation (RAG) platform that indexes internal documentation without exposing IP.
- Avenio IQ Prism: Intelligent document ingestion, OCR classification, and structured data extraction engine for enterprise back-office workflows.
- Avenio IQ Assist: Autonomous multi-channel customer and employee support agent with bi-directional API resolution and deterministic safety guardrails.
- Avenio IQ Pitch: Autonomous inbound lead qualification, buyer intent scoring, CRM orchestration, and calendar booking agent.
Strict Zero-Training Guarantee on Customer Data:
Avenio strictly covenants that Customer Data, proprietary documents, prompt queries, vector embeddings, and operational data processed by Avenio IQ are NEVER used to train, retrain, fine-tune, or improve any public, third-party, or foundational commercial artificial intelligence models. Your enterprise data remains isolated within dedicated tenant partitions.
Input & Output Rights: The Client retains all exclusive right, title, and intellectual property in all data, files, and prompts uploaded into Avenio IQ (“Customer Inputs”). Subject to Client's compliance with these Terms and payment of applicable licensing fees, Client owns all direct analytical and textual outputs generated by Avenio IQ specifically for Client (“Generated Outputs”). Avenio retains all ownership of the underlying software architecture, model connectors, vector indexing pipelines, agent runtimes, and algorithmic frameworks.
Acceptable Use & AI Safety: When using Avenio IQ, the Client and authorized users agree not to: (a) attempt prompt injection, jailbreaking, or adversarial tampering with agent guardrails; (b) reverse engineer, decompile, or extract model weights or proprietary system instructions; (c) generate or disseminate unlawful, defamatory, infringing, or malicious payloads; or (d) deploy agents for deceptive, unmonitored high-risk activities without appropriate human oversight.
Probabilistic Nature & Human-in-the-Loop: While Avenio IQ incorporates strict grounded RAG verification, confidence score thresholding, and automated hallucination mitigations, artificial intelligence systems produce probabilistic outputs. Avenio IQ is designed to augment human decision-making. Clients are advised to maintain a human-in-the-loop (HITL) verification protocol for high-consequence legal, medical, regulatory, or financial actions.
4. Intellectual Property Rights
Client Deliverables: Upon full and final payment of all agreed fees, the client shall own all right, title, and interest in the custom deliverables created specifically for the client, excluding any pre-existing materials, libraries, open-source components, or Avenio proprietary frameworks and Avenio IQ runtimes.
Avenio IP & Website: All content, trademarks, brand assets, logos, design templates, code repositories, Avenio IQ architectures, and materials displayed on this Website or embedded in our SaaS solutions are the exclusive intellectual property of Avenio Solutions and are protected under applicable Indian and international copyright and intellectual property laws.
5. Client Obligations & Materials
Clients engaging our services or deploying Avenio IQ agree to:
- Provide necessary information, assets, brand materials, approvals, and API access credentials in a timely manner to facilitate project execution and agent integration.
- Ensure that all materials, data, content, and instructions provided to Avenio do not infringe upon any third-party intellectual property or violate applicable laws.
- Maintain appropriate internal data governance, user role permissions, and authentication credentials for all staff members accessing Avenio IQ platforms.
- Appoint a designated point of contact for timely reviews, system acceptance, and milestone sign-offs.
6. Invoicing & Subscription Terms
All commercial terms, invoice schedules, and subscription plans will be outlined in the applicable proposal, order form, or agreement. Unless specified otherwise:
- Invoices are due within the payment window stated on the invoice (typically 7 to 15 business days).
- Avenio IQ subscription licenses and compute/token capacity allocations are billed on a recurring monthly or annual basis as defined in the commercial order.
- Applicable statutory taxes, including Goods and Services Tax (GST) in India or local sales taxes abroad, will be charged in accordance with prevailing government regulations.
- Delay in milestone payments or subscription renewals may result in a temporary suspension of project deliverables, API access, or Avenio IQ agent runtimes until outstanding dues are cleared.
7. Confidentiality & Data Privacy
Both parties agree to treat all business information, technical data, strategies, customer records, enterprise documents indexed in Avenio IQ, and proprietary assets exchanged during the engagement as strictly confidential. Neither party shall disclose confidential information to any third party without prior written consent, except as required by applicable law or judicial authorities. All data processing is governed by our Privacy Policy.
8. Warranties & Disclaimers
Avenio Solutions warrants that all professional services and software integrations will be executed with industry-standard skill, care, and professional diligence.
Except as expressly set forth in a written Enterprise Service Agreement (ESA), this Website, our consulting services, and the Avenio IQ software suite are provided on an “as is” and “as available” basis. While we enforce enterprise-grade grounding and high-reliability engineering, Avenio makes no warranties that Avenio IQ agent outputs will be 100% error-free or that third-party foundation model APIs (e.g., Azure OpenAI, AWS Bedrock, Anthropic) will experience zero downtime outside our direct control.
9. Limitation of Liability
To the maximum extent permitted by applicable Indian law, Avenio Solutions and its directors, officers, employees, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business interruption, or consequences resulting from client reliance on unverified generative AI outputs. Our total aggregate liability arising out of or related to any engagement or product subscription shall be strictly limited to the total fees paid by the client to Avenio for the specific service or product tier giving rise to the claim in the preceding three (3) months.
10. Termination & Data Return
Either party may terminate an engagement or subscription upon written notice if the other party commits a material breach and fails to remedy such breach within fourteen (14) business days.
Upon termination of an Avenio IQ subscription, Client access to the agent dashboard and API keys will cease. Upon written request within thirty (30) days following termination, Avenio will securely delete or return all Customer Inputs, proprietary documents, and vector embeddings stored within the tenant instance in accordance with our data destruction protocols.
11. Governing Law & Dispute Resolution
These Terms and all agreements shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts situated in Bengaluru, Karnataka, India.
12. Changes to Terms
Avenio Solutions reserves the right to amend or update these Terms & Conditions periodically to reflect evolving regulatory, technological, or operational changes, including updates to the Avenio IQ suite. Updates will be posted on this page with a revised effective date. Your continued use of the Website, products, or services after updates are published constitutes acceptance of the revised Terms.
